Either party may terminate this Agreement for material breach following written notice and a reasonable opportunity to cure. The Student (or Parent/Guardian) agrees to indemnify and hold harmless the Institution, its officers, employees, and agents from claims, liabilities, losses, and costs arising from the Student's acts or omissions, except to the extent caused by the Institution's negligence. The Institution's liability for any claim related to this Agreement shall not exceed amounts actually paid by the Student to the Institution under this Agreement.

DISPUTE RESOLUTION AND GOVERNING LAW
