EDUCATION CONTRACTOR AGREEMENT

This Education Contractor Agreement (the Agreement) is entered into as of by and between:

Recitals

WHEREAS, the Institution desires to obtain certain educational services described herein; and WHEREAS, Contractor represents that Contractor has the qualifications, experience, and ability to perform such services; therefore, the parties agree as follows:

Scope of Services

Contractor shall provide the services, deliverables, and schedule described below. Contractor will perform services in a professional manner consistent with industry standards and applicable educational regulations.

Term

The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Compensation and Payment

Institution shall pay Contractor as set forth below. Payment is contingent on Contractor's satisfactory performance and timely submission of invoices.

Hourly Fixed Fee

Independent Contractor; Taxes

Contractor is an independent contractor and not an employee, agent, or partner of Institution. Contractor is responsible for all federal, state, and local taxes and contributions arising from compensation paid. Contractor shall not be entitled to benefits provided by Institution to its employees.

Background Checks; Child Safety and Compliance

Contractor warrants that Contractor, and any personnel assigned to perform services under this Agreement, have completed all required background checks and clearances required by applicable law and Institution policy prior to performing services involving contact with students. Contractor shall promptly provide written evidence of clearance upon request.

Confidentiality; Student Records

Contractor will maintain the confidentiality of student education records and other confidential information received from Institution. Contractor will comply with all applicable student privacy laws and Institution policies, including restrictions on disclosure, use, and retention of student records. Contractor shall immediately report any unauthorized disclosure.

Intellectual Property

Unless otherwise agreed in writing, all original works of authorship, curricula, lesson plans, assessments, and materials created by Contractor specifically for Institution under this Agreement shall be work made for hire and shall be the sole property of Institution. Contractor hereby assigns to Institution all right, title, and interest in such materials.

Insurance and Indemnity

Contractor shall maintain commercial general liability insurance and professional liability insurance in amounts sufficient to cover Contractor's obligations under this Agreement. Contractor shall name Institution as an additional insured where reasonably requested.

Contractor shall indemnify, defend, and hold harmless Institution, its officers, employees, and agents from and against any claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of Contractor's breach of this Agreement or negligent or willful acts or omissions.

Records; Audit

Contractor shall maintain complete and accurate records related to services rendered and expenditures incurred. Institution may audit such records upon reasonable notice. Contractor shall retain records for a period of three (3) years following final payment under this Agreement unless a longer period is required by law.

Termination

Either party may terminate this Agreement for convenience upon days' written notice to the other party. Institution may terminate immediately for cause if Contractor fails to comply with applicable laws, policies, or materially breaches this Agreement.

Compliance with Law; Non-Discrimination

Contractor shall comply with all federal, state, and local laws, rules, and regulations applicable to the performance of services, including requirements related to child abuse reporting, nondiscrimination, and accessibility. Contractor warrants that services will be provided without unlawful discrimination.

Notices

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing.

Miscellaneous

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements. No amendment shall be valid unless in writing and signed by both parties. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.

Governing law: . Any dispute arising out of this Agreement shall be resolved in the courts located in the governing jurisdiction, unless the parties agree to alternate dispute resolution in writing.
