EDUCATION CONTRACTOR AGREEMENT

Compensation and Expenses

Institution will compensate Contractor as set forth below. Contractor shall submit written invoices and required documentation for Services performed. Institution will pay properly submitted invoices in accordance with the payment terms below.

Independent Contractor; Taxes

Contractor is engaged as an independent contractor and not as an employee. Contractor is solely responsible for all federal, state and local taxes, workers' compensation, benefits, and other obligations arising from compensation paid under this Agreement.

Background Checks and Clearances

Contractor shall obtain and maintain all background checks, fingerprinting, child-protection clearances, health screenings, and training required by Institution policy and applicable law prior to any contact with students. Contractor shall provide satisfactory documentation of such clearances upon request.

Confidentiality and Student Records

Contractor will treat all student information, personally identifiable information, educational records, and assessment results as confidential and will comply with applicable laws and Institution policies governing student records and privacy. Contractor shall use such information only for performance of the Services and shall not disclose such information except as authorized in writing by Institution or as required by law.

Intellectual Property and Work Product

Work product, curricula, assessments, lesson plans, and deliverables prepared by Contractor specifically for Institution under this Agreement shall be deemed work made for hire and owned by Institution. To the extent ownership does not automatically vest in Institution, Contractor hereby assigns all right, title and interest in such work product to Institution. Contractor may retain rights to pre-existing materials but grants Institution a perpetual, royalty-free license to use such pre-existing materials to the extent incorporated into deliverables.

Insurance and Indemnification

Contractor shall maintain commercial general liability insurance, professional liability (errors and omissions) coverage if applicable, and workers' compensation coverage as required by law. Contractor shall indemnify, defend and hold harmless Institution, its trustees, officers, employees and agents from and against all claims, liabilities, losses and expenses arising out of Contractor's performance, negligent acts, or willful misconduct.

Compliance with Policies and Non-Discrimination

Contractor shall comply with Institution policies including those governing nondiscrimination, student interaction, safety protocols, and applicable law. Contractor shall not discriminate on the basis of protected characteristics in the performance of Services.

Records, Audit, and Record Retention

Contractor shall maintain complete records of services performed, time records, invoices and supporting documentation. Institution may request access to such records for audit or oversight purposes. Contractor shall retain records for the period required by Institution policy or law.

General Provisions

This Agreement constitutes the entire agreement between the parties concerning its subject matter and supersedes prior understandings. Amendments must be in writing and signed by authorized representatives. If any provision is found invalid, the remainder shall remain enforceable. Notices shall be delivered to the addresses provided above unless otherwise updated in writing.
