This Education Creative Contract (the "Agreement") is entered into between the Educational Institution named above and the Creator named above. The Institution engages the Creator to develop creative materials, performances, curriculum artifacts, or other deliverables described in Section 1 below (the "Works"), subject to the terms, deliverables, compensation, and intellectual property provisions set forth in this Agreement.

4. Intellectual Property and License

Works created under this Agreement shall be owned exclusively by the Educational Institution (Institution receives all copyrights and rights to exploit), or

Creator retains copyright; Creator grants Institution a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, display, distribute, modify, and prepare derivative works for educational, promotional, archival, and instructional purposes.

5. Privacy, Student Records, and Publicity

The Institution will handle any student educational records and personally identifiable information in accordance with applicable education privacy laws. Creator grants permission for the Institution to use the Works and Creator's name, image, and biographical information for promotion and educational purposes: Consent granted

6. Representations, Warranties, and Indemnification

Creator represents and warrants that the Works are original, do not infringe third-party intellectual property rights, and do not contain unlawful material. Creator shall indemnify, defend and hold harmless the Institution from liabilities, damages, costs and expenses arising from third-party claims of infringement or violation of law attributable to the Works, except to the extent that such claim arises solely from modifications made by the Institution outside the scope of this Agreement.

7. Termination

Either party may terminate this Agreement for material breach if the breach is not cured within days after written notice. Upon termination, the Institution's rights in completed Works, payment for work performed to date, and return of confidential materials shall be handled as set forth in this Agreement.

This Agreement shall be governed by the laws of the state or jurisdiction where the Educational Institution is located: . The parties agree to attempt good-faith resolution of disputes and, if unresolved, to submit disputes to mediation prior to pursuing court action.
