EDUCATION CURRICULUM DEVELOPMENT AGREEMENT

Recitals

WHEREAS, Client seeks to engage Developer to design, develop and deliver educational curriculum materials, assessments and related instructional supports as described in this Agreement; and WHEREAS, Developer represents that Developer has the skill, experience and capacity to perform the services described herein.

Total Fee (not including reimbursable expenses): . Payment shall be made in accordance with the schedule below and upon Client's written acceptance of deliverables.

Ownership, License and Use

Developer hereby assigns to Client all right, title and interest in and to the deliverables, including copyright, except that pre-existing Developer tools, templates and third-party content remain Developer's property unless otherwise assigned. The parties may elect a limited license instead of assignment as set forth below.

Confidentiality and Student Data

Developer shall maintain in confidence all non-public information received from Client and shall implement administrative, technical and physical safeguards appropriate to protect student records and personally identifiable information. Developer will comply with all applicable student privacy and data protection laws and Client policies.

Warranties; Compliance; Background Checks

Developer represents and warrants that deliverables will be original, will not infringe third-party rights, will perform materially in accordance with the acceptance criteria, and that Developer will comply with applicable laws and Client policy. Where Developer personnel have direct contact with students, Developer shall ensure appropriate background checks and clearances prior to such contact.

Termination

Either party may terminate this Agreement for convenience upon written notice to the other party given no fewer than days. Client may terminate immediately for Developer's material breach that remains uncured after written notice and reasonable opportunity to cure.

Indemnification and Insurance

Developer shall indemnify and hold harmless Client from liabilities arising out of Developer's breach of representations, negligent acts, or infringement claims, except to the extent caused by Client's gross negligence or willful misconduct. Developer shall maintain insurance sufficient for the performance of services, including professional liability and general commercial liability.

Records, Audit and Records Retention

Developer shall maintain books and records relevant to the performance of this Agreement for a period of three years following final payment and shall permit Client to audit such records upon reasonable notice during regular business hours.

Dispute Resolution and Governing Law

The parties shall attempt in good faith to resolve disputes arising under this Agreement through negotiation. If unresolved, disputes shall be resolved by binding arbitration under mutually agreed rules or by litigation in a court of competent jurisdiction in the state of Client's principal place of business. The governing law shall be the law of that state.

Miscellaneous

This Agreement constitutes the entire agreement between the parties concerning the subject matter and supersedes prior negotiations and proposals. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.
