Recipient shall indemnify and hold harmless the Provider from claims arising from Recipient’s breach of this Agreement or negligent actions related to data handling. Except to the extent required by law, Provider’s liability for damages shall not exceed direct, provable losses and shall exclude consequential, incidental, and punitive damages.

Term, Termination, and Amendments

This Agreement is effective as of the Effective Date and shall remain in force for the Retention Period specified herein unless earlier terminated by the Provider for material breach or at Provider’s discretion. Upon termination, Recipient shall return or destroy all data in accordance with the destruction procedure and certify such actions in writing. Amendments to this Agreement must be made in writing and signed by authorized representatives of both parties.

Acknowledgment and Certification

By signing below, the undersigned certify that they have authority to execute this Agreement on behalf of the identified party, and that the representations and controls described herein are true and will be maintained for the duration of data access.
