Amendment, Termination, and Liability

Amendment: Except as expressly modified by this Addendum, the original agreement remains in full force and effect. Any further modification to this Addendum must be made in writing and signed by authorized representatives of the Institution and the Parent/Guardian or Student.

Termination: Either party may terminate the additional services described in this Addendum upon written notice if the other party materially breaches its obligations and fails to cure such breach within thirty (30) days of receiving written notice. Termination of services under this Addendum does not necessarily terminate obligations already incurred, including payment obligations for services rendered through the date of termination.

Liability: The Institution shall exercise reasonable care in providing services set forth in this Addendum. Except to the extent provided by applicable law, the Institution's liability arising from the services under this Addendum shall be limited to direct damages and shall not include consequential or punitive damages.
