Vendor shall implement measurement and tracking only as expressly authorized by Client. Advertiser tracking methods:

Vendor warrants that no data collection or targeting will knowingly solicit or collect personally identifiable information from children under the applicable protected age without express parental consent. Vendor further agrees not to use student directory information for advertising purposes unless Client provides explicit written authorization.

INTELLECTUAL PROPERTY, LICENSES, AND USAGE

All creative assets provided by Client remain Client property. Vendor is granted a limited, nonexclusive license to use Client-provided assets solely for the performance of this Agreement and for the Campaign limited to the flight dates. Vendor represents that it owns or has valid licenses to any third-party assets used in the creative. Any custom creative developed by Vendor for Client pursuant to this Agreement shall be owned by Client upon full payment unless otherwise agreed in writing; specify exceptions here:

WARRANTIES, REPRESENTATIONS, AND APPROVALS

Vendor represents and warrants that all advertising copy and creative will be truthful, not misleading, and compliant with applicable laws and institutional policies. Client shall provide timely approvals in accordance with the approval schedule; standard approval turnaround is unless otherwise agreed.

TERMINATION, CANCELLATION, AND SUSPENSION

Either party may terminate this Agreement upon written notice if the other party materially breaches and fails to cure within 15 calendar days of receipt of notice. On termination, Vendor will cease campaign delivery and provide a final accounting of spend and deliverables. Refunds or credits for unused media spend will be calculated net of third-party platform cancellation fees and unrecoverable costs.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party will indemnify and hold harmless the other party from claims arising out of that party's breach of this Agreement, negligence, or willful misconduct. Except for indemnification obligations and claims arising from willful misconduct or gross negligence, neither party's aggregate liability for any claim will exceed the fees paid under this Agreement for the applicable campaign period.

CONFIDENTIALITY

Confidential information disclosed in connection with this Agreement shall be used solely for performance under this Agreement and shall not be disclosed to third parties except as required to perform the services or as required by law. Confidentiality obligations will survive termination for two years.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement will be governed by the laws of the state of without regard to its conflict of laws rules. Parties will first attempt to resolve disputes in good faith through negotiation prior to commencing any litigation.
