Recipient Institution represents and warrants that it is a bona fide educational entity with authority to accept charitable donations and that it will apply donated funds consistent with this Contract.

Tax and Compliance Acknowledgment

The parties acknowledge that Recipient Institution will provide customary written acknowledgment of receipt for donations when requested. Neither party provides tax advice by this Contract; Donor is responsible for determining the tax consequences of this donation and for obtaining any substantiation necessary to claim tax benefits.

Indemnification, Termination, and Miscellaneous

Indemnification: Each party shall indemnify and hold the other harmless from and against claims arising from that party's breach of this Contract, gross negligence, or willful misconduct, subject to applicable law.
