The EDA Coach will provide professional services as set forth below. The Coach's role is advisory and supportive and does not supplant licensed instructional staff unless expressly agreed in writing.

The Institution authorizes the Coach to access the limited educational records and data necessary to perform the Scope of Services. The Coach agrees to comply with all applicable privacy laws and applicable institutional policies governing student records, including maintaining confidentiality, limiting redisclosure, and implementing reasonable administrative, technical, and physical safeguards.

Term, Termination, and Amendment

This Agreement commences on the Effective Date and continues until the Anticipated End Date above or until terminated by either party with written notice. Either party may terminate for cause upon material breach that remains uncured after notice and a reasonable cure period.

The Coach shall maintain appropriate professional liability and general liability insurance and provide proof of coverage upon request. The Coach and Institution shall each defend, indemnify, and hold harmless the other for claims arising from their own negligent acts or omissions, subject to applicable law and limits set forth by institutional policies.
