Confidentiality and FERPA Considerations

Editor shall treat all submitted materials and educational records provided by Client as confidential. Editor will not disclose or use Client's educational records or personal information except to perform the services or as required by law.

Client authorizes Editor to retain copies of edited work for a period reasonably necessary for quality control and dispute resolution. Client may request deletion of files after completion.

Academic Integrity and Client Representations

Client represents that all submitted work is the Client's original work or that Client has the right to submit it for editing. Client acknowledges that Editor's role is to improve clarity, grammar, and organization and not to produce original academic content in place of Client. Use of edited material in violation of institutional policies is the responsibility of Client.

Ownership and License

Client retains ownership and copyright in the original work. Editor is granted a limited, non-exclusive license to modify the work only for the purpose of performing services under this Agreement. Editor may not claim authorship of Client's work.

Client grants permission for Editor to use anonymized excerpts for Editor's portfolio only if Client provides consent below.

Warranties, Liability, and Indemnification

Editor warrants that services will be performed in a professional manner consistent with prevailing industry standards. Except for such warranty, services are provided "as is" and Editor disclaims all other warranties to the fullest extent permitted by law.

Except for willful misconduct or gross negligence, Editor's liability for any claim arising from this Agreement shall not exceed the total fees paid by Client to Editor under this Agreement. Client agrees to indemnify and hold Editor harmless from claims arising from Client's breach of institutional rules, plagiarism, or misuse of edited work.

Term and Termination

This Agreement commences on the Effective Date and continues until completion of the services or earlier termination as provided herein. Either party may terminate for material breach after providing written notice and a reasonable cure period. Fees earned prior to termination remain payable.

Notices and Governing Law

All notices under this Agreement must be in writing and delivered to the contact information listed in this form. This Agreement will be governed by the laws of the state selected by Editor unless otherwise agreed in writing.

Miscellaneous

This Agreement constitutes the entire agreement between the parties regarding the subject matter and supersedes prior communications. Amendments must be in writing and signed by both parties. If any provision is invalid, the remainder remains in effect.
