Neither Party shall be liable for indirect, incidental, or consequential damages except for willful misconduct or gross negligence.

10. Dispute Resolution

If unresolved within 60 days, disputes will be submitted to binding arbitration before a mutually agreed neutral arbitrator pursuant to the arbitration rules selected by the Parties. Remedies shall be limited to those available at law or equity.

11. Term, Termination and Notice

This Agreement commences on the Effective Date and continues until terminated. Either Party may terminate for cause upon written notice specifying the breach and providing a cure period of days. Notices shall be provided to addresses below.

12. Amendments and Severability

This Agreement may be amended only by written instrument executed by authorized representatives of both Parties. If any provision is held invalid, the remainder shall remain in full force and effect.
