1. Obligations of the School: The institution will provide qualified instructional staff, maintain records of attendance and progress, deliver contracted services in accordance with the Program Description, and provide reasonable accommodations consistent with applicable plans (IEP/504) where documented and agreed.

2. Obligations of the Student/Guardian: The student and guardian will ensure attendance, provide required materials and technology, complete assignments, and communicate promptly regarding absences or any barriers to participation.

3. Confidentiality: The parties agree to maintain confidentiality of student educational records in accordance with applicable privacy laws and institutional policy. The school may disclose to authorized staff or contractors on a need-to-know basis for purposes of service delivery. The guardian consents to such disclosures for the term of this Agreement.

4. Liability and Indemnification: The school will exercise reasonable care in providing instructional services. The student/guardian releases the school from liability for ordinary negligence, except for gross negligence or willful misconduct. The student/guardian agrees to indemnify and hold harmless the school against claims arising from the student’s material failure to follow policies or from unauthorized conduct by the student.

5. Termination: Either party may terminate this Agreement for material breach after written notice and a reasonable cure period. Fees owed for services provided through the date of termination remain due in accordance with the Payment Terms.

6. Governing Law and Dispute Resolution: This Agreement shall be governed by applicable state law. Parties agree to attempt good-faith mediation prior to initiating formal legal proceedings; if mediation fails, disputes shall be resolved by binding arbitration consistent with the institution’s arbitration procedures where permitted by law.
