RESPONSIBILITIES

Organizer Responsibilities: The Organizer shall plan and manage the fundraising activity, obtain any required permits or approvals, recruit volunteers, collect funds, and maintain detailed records of all receipts and expenditures related to the fundraising. The Organizer shall ensure all fundraising materials present an accurate description of how funds will be used and shall not represent that funds will be used for purposes other than those identified in this Agreement.

School Responsibilities: The School shall provide reasonable administrative support, grant approval for use of facilities or school channels if agreed, monitor compliance with school policies, and receive and deposit fundraising proceeds as set forth below.

FINANCIAL TERMS

Allocation of Gross Proceeds: Proceeds derived from the fundraising activity shall be allocated as follows:

Deposit and Payment Schedule: Funds collected will be deposited to the School account within calendar days following the close of the fundraiser. Final accounting and remittance of net proceeds shall be delivered to the School within calendar days.

COMPLIANCE, PERMITS, AND INSURANCE

Permits and Compliance: The Organizer shall secure any permits, licenses, or approvals required by local or state authorities for the fundraising activity at Organizer's sole cost. All activities shall comply with applicable laws, school district policies, and nondiscrimination requirements.

Insurance: If the activity involves public attendance, the Organizer shall obtain and maintain general liability insurance in an amount not less than and provide proof of insurance naming the School as an additional insured when requested.

RECORDS, ACCOUNTING, AND AUDIT

Records: Organizer shall maintain accurate receipts, vendor invoices, cash logs, and donor records related to the fundraising for a period of . The School reserves the right to inspect records upon reasonable notice.

USE OF SCHOOL NAME, LOGOS, AND DATA PRIVACY

Use of Name and Logo: Use of the School's name or logos for promotional materials must be approved in writing in advance by the School's authorized representative.

Donor Information and Privacy: Donor personal information collected in connection with the fundraiser shall be used only for purposes of processing gifts and related reporting, and shall not be shared or sold. Electronic donor lists shall be transmitted to the School only if expressly agreed and protected in accordance with applicable privacy requirements.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Indemnification: The Organizer shall indemnify, defend, and hold harmless the School, its officers, employees, and agents from and against any claims, liabilities, losses, damages, or expenses (including reasonable attorneys' fees) arising out of Organizer's negligence, willful misconduct, breach of this Agreement, or violation of applicable law in connection with the fundraising activity.

TERMINATION AND DEFAULT

Termination: Either party may terminate this Agreement upon written notice if the other party materially breaches a term and fails to cure within calendar days. Upon termination, Organizer shall provide a final accounting and remit any net proceeds within the schedule in this Agreement.

MISCELLANEOUS

Independent Contractor: The Organizer is an independent contractor. Nothing in this Agreement creates an employment, agency, joint venture, or partnership relationship.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws rules.
