EDUCATION FUNNELPRO AGREEMENT

This Education FunnelPro Agreement (the Agreement) is entered into by and between the educational institution and the service provider identified below and is effective as of (Effective Date). This Agreement sets forth the terms under which FunnelPro services will be provided to support recruitment, enrollment, and delivery of the educational program described herein.

Service Provider will deliver recruitment and enrollment funnel services, including but not limited to lead generation, landing page creation, application processing automation, analytics reporting, and integration with Institution systems as specified in the Scope of Services below. Any additional services will require written amendment and mutual agreement.

Fees, Payments & Refunds

Institution agrees to pay Service Provider the fees set forth below in exchange for the services rendered. Fees are exclusive of applicable taxes unless otherwise stated.

Legal Terms

1. Term and Termination: This Agreement commences on the Effective Date and continues for the program duration identified above unless earlier terminated in accordance with this Agreement. Either party may terminate for material breach following thirty (30) days written notice and failure to cure. Termination for convenience requires thirty (30) days prior written notice and payment for services performed through the termination date.

2. Data Privacy and Student Records: Service Provider shall implement and maintain administrative, technical, and physical safeguards to protect personal data and education records. Institution authorizes Service Provider to process enrollment and student data necessary to perform services. Service Provider shall not disclose personally identifiable student information to third parties except as required to perform Services or as required by law. Institution represents that it has obtained any required consents for processing student data.

3. Intellectual Property: Institution retains ownership of student records and Institution-owned curricular content. Service Provider retains ownership of its pre-existing platform, software, templates, and materials. Work product created specifically for Institution will be owned by Institution upon payment in full unless otherwise agreed in writing. Each party grants the other a limited, non-exclusive license to use necessary materials to perform obligations under this Agreement.

4. Confidentiality: Each party agrees to keep confidential all confidential information of the other party and to use such information only for performance under this Agreement. Confidentiality obligations survive termination for a period of three (3) years.

5. Warranties and Disclaimers: Service Provider warrants that it will perform services in a professional manner. EXCEPT FOR THE EXPRESS WARRANTY SET FORTH ABOVE, SERVICES ARE PROVIDED AS IS AND SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

6. Limitation of Liability and Indemnification: Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, or punitive damages. Institution shall indemnify and hold harmless Service Provider from third-party claims arising from Institution content, representations, or student conduct. Service Provider shall indemnify Institution from claims arising from Service Provider's gross negligence or willful misconduct.

7. Governing Law; Dispute Resolution: This Agreement will be governed by the laws of the state selected below. Parties agree to attempt good-faith negotiations prior to initiating formal dispute resolution.

I consent to receive administrative and marketing communications relating to the program and future program opportunities. Consent to marketing communications is voluntary and may be withdrawn in writing.

The parties agree that any amendment to this Agreement must be made in writing and signed by authorized representatives of both parties. Execution by electronic signature, facsimile, or PDF scan shall have the same force and effect as an original signature.
