Acceptance Procedure: Buyer shall inspect goods within days of delivery. Goods shall be deemed accepted if Buyer does not provide a written rejection describing nonconformities within that period. Risk of loss for the goods passes to Buyer upon delivery to Buyer's designated delivery location unless installation is performed by Seller, in which case risk of loss passes upon completion of installation and formal acceptance. Title to goods transfers to Buyer upon full payment to Seller.

Insurance, Indemnity and Limitation of Liability

Seller shall maintain insurance covering commercial general liability and, if installing, workers' compensation consistent with industry practice. Seller shall indemnify, defend and hold harmless Buyer from claims, damages, losses and expenses (including reasonable attorney fees) arising from Seller's negligence or willful misconduct in performing this Agreement. Except for indemnification obligations and willful misconduct, neither party's liability shall exceed the total amount paid under this Agreement.

Change Orders and Cancellations

Any changes to specifications, quantities, delivery schedule or price must be documented in a written change order signed by authorized representatives of both parties. Buyer may cancel an order in writing; Seller may invoice Buyer for work performed and non-cancellable commitments incurred prior to the date of Seller's receipt of cancellation, subject to mitigation.

Records, Audit Rights and Confidentiality

Seller shall retain documentation related to manufacture, testing, and delivery for a period of three years and shall permit Buyer reasonable inspection or audit of such records upon prior notice. Parties shall maintain in confidence proprietary technical and commercial information exchanged under this Agreement, except where disclosure is required by law.

A party shall be in default if it fails to cure a material breach within thirty (30) days after written notice. Remedies for breach include specific performance, replacement, repair, refund of purchase price, and recovery of consequential damages where permitted. Termination for convenience may be exercised by Buyer on reasonable terms, including compensation to Seller for work in progress and non-cancellable commitments.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state of without regard to conflict of laws principles.
