The Interpreter represents and warrants that all professional credentials, certifications, and disclosures required by federal and state law and by the Institution have been provided and remain current. The Interpreter shall cooperate with background check processes and shall not provide services until cleared according to Institution policy.

Confidentiality; Student Records; Mandatory Reporting

The Interpreter will treat all student education records and personally identifiable information as confidential in accordance with applicable law. The Interpreter shall comply with all applicable provisions governing student privacy and records, and shall not access or disclose student records other than as necessary to perform interpreting services. The Interpreter acknowledges obligations as a mandated reporter under applicable law and will promptly report suspected child abuse or neglect in accordance with Institution policy.

Professional Conduct and Liability

The Interpreter shall perform services in a professional, impartial manner and shall not engage in evaluative or therapeutic activities unless separately authorized. The Interpreter shall maintain professional boundaries and shall comply with all Institution policies on conduct and safety while on campus or at school-sponsored activities.

Insurance: The Interpreter shall maintain commercial general liability and professional liability insurance in amounts adequate to cover performance under this Agreement. Proof of insurance shall be provided upon request.

Termination and Remedies

Either party may terminate this Agreement for convenience upon seven (7) days' written notice. The Institution may terminate immediately for cause, including breach of confidentiality, failure to pass required background checks, or conduct that endangers students. On termination the Interpreter shall be paid for services properly rendered through the termination date.

Indemnification and Independent Contractor Status

The Interpreter is an independent contractor and is responsible for all employment taxes and benefits for its personnel. The Interpreter shall indemnify, defend and hold harmless the Institution, its trustees, officers, employees, and agents from and against any claims, damages, liabilities, and expenses arising from the Interpreter's negligent performance or willful misconduct, except to the extent caused by the Institution's negligence.

Governing Law: This Agreement shall be governed by the laws of the state in which the Institution is located. Any disputes arising out of this Agreement shall be resolved in the appropriate state or federal courts of that state. Modifications to this Agreement must be made in writing and signed by authorized representatives of both parties.
