Term, Assignment, and Scope of Services

Term: The Coach shall provide services beginning on Start Date: and ending on End Date: unless earlier terminated pursuant to this Agreement.

Scope of Services: The Coach shall perform literacy coaching services which shall include, at a minimum:

a) Deliver classroom observations, model teaching demonstrations, and provide evidence-based feedback to classroom teachers; b) Design and deliver professional development and curriculum-aligned coaching cycles; c) Co-create individual student intervention plans where appropriate and maintain coaching logs; d) Assist with formative assessment use and data analysis to inform instruction; e) Maintain timely written reports and submit documentation described in Reporting Requirements below.

Compensation, Invoicing, and Expenses

Compensation: The School shall compensate the Coach as follows:

Invoicing: Coach shall submit itemized invoices no more frequently than once per month, including dates of service, hours, deliverables, and any required supporting documentation. Invoices must be submitted to School Contact:

Status, Compliance, and Background Checks

Employment Status: The parties agree that the Coach is acting as:

Background Checks and Certifications: Coach certifies that all required background checks, fingerprinting, and state-mandated clearances have been obtained and remain current. Coach shall provide copies of credentials and clearance documentation on request. Certification / License Number:

Mandatory Reporting: Coach acknowledges an obligation to report suspected child abuse or neglect in accordance with applicable law and School policy and will immediately report such concerns to the designated School official.

Student Data, Confidentiality, and Recordkeeping

Confidentiality: Coach will protect student records and personally identifiable information in accordance with applicable law and School policy. Coach will not use student data for purposes other than performance of services under this Agreement and will return or securely destroy records upon request or termination.

Evaluation, Intellectual Property, and Work Product

Evaluation: The Coach's performance will be evaluated pursuant to the mutually agreed goals and metrics described in Reporting Requirements. The School may require adjustments to the coaching plan based on evaluation outcomes.

Intellectual Property: Work products, training materials, assessment forms, and related deliverables prepared specifically for the School under this Agreement shall be considered work made for hire and owned by the School, except where otherwise agreed in writing.

Insurance, Indemnification, and Liability

Insurance: If acting as an independent contractor, Coach shall maintain general liability insurance and professional liability coverage in amounts customary for educational consultants and provide certificates upon request.

Indemnification: Each party agrees to indemnify and hold harmless the other from claims arising from the indemnitee’s own negligence or willful misconduct. The Coach shall indemnify the School for claims arising from Coach’s failure to comply with applicable law, breach of confidentiality, or other negligent acts in performing services.

Termination and Remedies

Termination: Either party may terminate this Agreement without cause upon Notice Period (days): days' written notice to the other party. The School may terminate for cause immediately for material breach, misconduct, or removal of authorization to work with students.

Remedies: Upon termination, Coach shall deliver all work product to the School and invoice for any unpaid services rendered through the effective date of termination. The School's payment obligations are limited to services performed in compliance with this Agreement.

Dispute Resolution and Governing Law

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state in which the School is located. The parties shall attempt in good faith to resolve disputes promptly and may pursue mediation prior to commencing litigation.

Acknowledgments and Certifications

Certification: Coach certifies that all statements made to the School in connection with this Agreement are true and that Coach has not been disqualified from employment or contracting with educational institutions for reasons related to misconduct.
