ACADEMIC POLICIES & COMPLIANCE

Participant agrees to comply with all applicable institutional policies and codes of conduct, including but not limited to academic integrity, non-discrimination, and health and safety rules. Participant acknowledges that violations may result in suspension or removal from the Program.

DATA SHARING, CONFIDENTIALITY, AND INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Institution and Participant shall each retain ownership of information and materials they independently provide. The parties agree to maintain confidentiality of student education records and confidential business information in accordance with applicable law. Use of student work for publication, presentation, or commercial use requires prior written consent of the owner and, where applicable, the student.

INSURANCE, LIABILITY, AND INDEMNITY

Each party shall be responsible for its own acts and omissions. Where Participant will perform activities on Institution premises or under Institution supervision, Participant shall maintain appropriate insurance. Participant certifies insurance coverage as follows:

Indemnity: To the fullest extent permitted by law, each party shall indemnify, defend, and hold harmless the other party from and against claims, liabilities, losses, and expenses arising from the indemnifying party's negligence or willful misconduct in the performance of this MOU.

TERMINATION AND MODIFICATION

Either party may terminate this MOU for convenience upon thirty (30) days' prior written notice. For material breach, the non-breaching party may terminate upon ten (10) days' written notice if the breach remains uncured. Amendments to this MOU must be in writing and executed by authorized representatives of both parties.

DISPUTE RESOLUTION & GOVERNING LAW

The parties shall attempt in good faith to resolve disputes by negotiation. If unresolved, disputes shall be submitted to mediation and, if mediation fails, to binding arbitration, unless the parties agree otherwise in writing. This MOU is governed by the laws of the state in which the Institution maintains its principal place of business.

NOTICES

Formal notices required by this MOU shall be in writing and delivered to the addresses below by certified mail, overnight courier, or hand delivery.
