Shared data shall be used solely for the purposes described herein and protected in accordance with applicable privacy requirements.

        

Financial Responsibilities

Each party's funding and in-kind contributions are set forth below. Unless otherwise specified, each party is responsible for its own personnel costs.

Insurance, Liability and Indemnification

Each party shall maintain insurance appropriate to its activities under this MOU and shall indemnify and hold harmless the other party for losses arising from the indemnifying party's negligence or willful misconduct in the performance of this MOU.

Intellectual Property

Ownership of materials, curricula, software, and other intellectual property created under this MOU shall be governed by the terms below. Unless otherwise agreed in writing, ownership of pre-existing materials remains with the originating party; jointly created materials shall be owned jointly unless otherwise allocated.

Reporting, Evaluation, and Compliance

This MOU shall commence on the Term Start date and continue until the Term End date unless earlier terminated. Either party may terminate this MOU for convenience upon prior written notice to the other party as provided below.

Notices

All notices, requests, demands, and other communications required or permitted under this MOU must be in writing and delivered to the primary contacts identified above or to such other address as either party may designate by written notice.

Dispute Resolution

The parties shall attempt in good faith to resolve any dispute arising out of or relating to this MOU through negotiation between senior representatives. If unresolved, the parties agree to proceed to mediation before pursuing other remedies. Nothing in this section shall prevent either party from seeking injunctive relief.
