Indemnification: To the fullest extent permitted by law, Proposer shall indemnify, defend and hold harmless the School, its officers, employees and agents from and against all claims, damages, losses and expenses, including attorney’s fees, arising out of or resulting from performance of the Work, except to the extent caused by the School’s gross negligence or willful misconduct.

Copyright, Use & Alteration

Ownership and copyright: Unless otherwise agreed in writing, physical ownership of the mural (the painted surface) vests in the School. Proposer retains copyright in the underlying artistic work. Proposer grants the School a perpetual, non-exclusive, royalty-free license to display, reproduce, and use images of the mural for educational, archival and non-commercial promotional purposes. The School shall credit the Proposer on reproductions where reasonably practicable.

Alteration or removal: The School may require removal or alteration of the mural for safety, renovation, or programmatic reasons. Except for removal due to emergency or safety, the School will provide written notice and will consult with the Proposer regarding timing and reasonable compensation for removal when removal occurs within five years of completion.

Proposer warrants that all work will comply with applicable laws, building and fire codes, and School policies. Proposer further warrants that paints and materials will be used and disposed of in accordance with applicable environmental and safety regulations.
