Provider shall implement services in accordance with the student’s individualized education program (IEP) and all applicable federal and state special education law. Provider obligations include timely participation in IEP meetings, adherence to IEP goals, and provision of progress data to the district.

Provider will implement services as written in the IEP and notify district of any concerns that prevent implementation.

Insurance and Liability

Provider shall maintain required insurance and deliver a certificate of insurance to the district prior to commencement of services. Provider shall notify the district in writing of any material change or cancellation of coverage.

Indemnity and Limitation

To the fullest extent permitted by law, Provider shall indemnify, defend and hold harmless the district, its officers, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorney fees) arising out of Provider’s negligent acts, omissions, or willful misconduct in the performance of services under this Agreement.

Termination

This Agreement may be terminated by either party for cause upon written notice specifying the grounds for termination and providing an opportunity to cure within the period specified below.

Either party may terminate without cause with prior written notice of days.
