EDUCATION ORTHOPHONIE MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding (MOU) is entered into by and between the undersigned parties for the purpose of defining the provision of orthophonie (speech-language pathology) services to students enrolled in the educational program identified below. This MOU sets forth the responsibilities, scope of services, confidentiality obligations, compensation/billing arrangements, and other terms applicable to the delivery of services.

Recitals

WHEREAS the School provides educational programs to enrolled students and requires qualified speech-language pathology services to support student access to education; and WHEREAS the Provider is authorized and qualified to deliver orthophonie services in educational settings; the parties agree as follows.

Scope of Services

The Provider shall deliver professional orthophonie services limited to the following as selected:

Screening for speech and language concerns
Comprehensive assessment and written report
Individual therapy sessions
Group therapy sessions
Consultation with teachers and staff
Participation in IEP/504 meetings as requested
Telepractice services where appropriate

Confidentiality & Records

The parties acknowledge and agree that student records, assessment reports, progress notes, and health information created or maintained in connection with services are confidential. The Provider will comply with applicable laws governing education and health records and will coordinate record access with the School. Records relating to direct services provided on school premises shall be maintained in accordance with School policies and shall be made available to authorized School personnel for inclusion in the student’s educational record as appropriate.

The Provider shall obtain written authorization from Parent/Guardian prior to releasing protected health information to third parties except as permitted by law. The parties shall employ reasonable administrative, technical, and physical safeguards to protect confidential information.

Provider carries professional liability insurance with limits sufficient to cover claims arising from the performance of services under this MOU.

The Provider shall submit invoices with supporting documentation. Payment terms are net 30 days from invoice date unless otherwise agreed. Nonpayment may result in suspension of non-essential services following written notice.

Scheduling, Cancellation and Makeup Sessions

Sessions will occur at agreed locations during the School day unless otherwise arranged. Cancellation by School or Parent/Guardian must be provided at least 24 hours in advance. Provider will make reasonable efforts to offer makeup sessions for missed appointments; makeup obligations will be defined on a case-by-case basis.

Either party may terminate this MOU for convenience upon providing written notice to the other party at least days prior to the effective termination date. Termination for cause may be immediate if a party materially breaches obligations and fails to cure within a reasonable time.

Liability, Indemnification & Insurance

Each party shall be responsible for acts or omissions of its employees, contractors, and agents. The Provider shall indemnify and hold harmless the School from claims arising out of negligent performance of services by the Provider. The School shall indemnify the Provider from claims arising from the School’s negligence in the performance of its obligations.

Amendment, Assignment and Dispute Resolution

This MOU may be amended only by written agreement signed by authorized representatives of both parties. Neither party may assign this MOU without prior written consent of the other party. The parties agree to attempt to resolve disputes by good faith negotiation. If negotiation fails, the parties may pursue mediation prior to initiating other formal dispute resolution.

Compliance and Acknowledgments

The Provider represents that all services shall be performed in accordance with applicable professional standards and statutory requirements. The School represents that it will facilitate Provider access to students and appropriate facilities in accordance with School policies.

Provider agrees to participate in orientation or training sessions requested by the School regarding School procedures, emergency protocols, and child-protection policies.

Notices

All notices required or permitted under this MOU shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing.
