Financial Terms

Compensation and cost allocation shall be as follows. Payments are conditional on performance and deliverables described in this Contract.

Data Privacy and Student Records

The parties agree that student education records and personal data shall be handled in accordance with applicable privacy laws and institutional policy. Partner Organization shall not access, use, or disclose personally identifiable student information except as required to perform its obligations under this Contract and only upon prior written authorization from Institution.

Confidentiality

Each party shall maintain as confidential all non-public information disclosed by the other party and shall use such information solely for the purposes of this Contract. Confidential information does not include information that is publicly known or independently developed without reference to confidential materials.

Intellectual Property

Ownership of materials created specifically under this Contract shall be allocated as follows. Parties may agree to joint ownership where both contribute substantially to creative content; otherwise, the creator retains ownership, subject to a non-exclusive license to the other party to use materials for educational purposes.

Insurance and Indemnification

Each party shall maintain insurance appropriate to its obligations under this Contract. Each party agrees to indemnify, defend and hold harmless the other party from claims arising from the indemnifying party’s negligence or willful misconduct in connection with performance under this Contract.

Liability Limitation

Except for liability arising from willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, special, or punitive damages. The parties’ aggregate liability under this Contract shall be limited to direct damages up to the amount actually paid under this Contract in the twelve (12) months preceding the claim.

Term, Termination, and Remedies

This Contract shall commence on the Effective Date and continue until the Program End Date, unless earlier terminated in accordance with this section. Either party may terminate for material breach after thirty (30) days’ written notice and failure to cure. Upon termination, parties shall cooperate to wind down activities in a manner that minimizes disruption to students.

Compliance and Audit

Each party shall comply with applicable laws, regulations, and institutional policies. Institution may audit Partner Organization’s performance and use of institutional funds or student data on reasonable notice and during normal business hours.

Notices under this Contract shall be delivered in writing to the authorized representatives listed below.

Academic Policies and Student Safety

All activities under this Contract shall be consistent with Institution academic policies and student conduct expectations. Partner Organization shall ensure appropriate safeguards, background checks, and supervision where required for student safety.

Dispute Resolution

The parties shall first attempt to resolve disputes through good faith negotiation. If unresolved, disputes shall be submitted to non-binding mediation. If mediation fails, either party may pursue legal remedies in a court of competent jurisdiction.

Amendments

Any amendment to this Contract must be in writing and signed by authorized representatives of both parties.
