Indemnification & Liability

Organizer agrees to indemnify, defend and hold harmless the Institution, its trustees, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of Organizer’s negligence, willful misconduct, or breach of this Agreement. Institution's liability for any claim arising from this Agreement shall be limited to direct damages and shall not include consequential, incidental, or punitive damages.
