Data Use and Disclosure: The parties agree that student-level data shall be used solely for evaluation purposes described in this Agreement and that personally identifiable information will not be disclosed to third parties except as required by law. De-identified or aggregated results may be used in reports. Provider shall implement reasonable administrative, technical, and physical safeguards to protect student information.

Reporting Requirements: Provider shall provide interim and final evaluation reports to the School in accordance with the timeline set forth in the Program Description and shall make raw or identifiable data available to the School upon request for compliance or oversight purposes.

Responsibilities of the Parties

Provider Responsibilities: Provider will deliver the Pilot Program, furnish materials and equipment as specified, train School personnel where required, comply with applicable privacy and safety requirements, maintain required insurance, and provide interim and final evaluation deliverables in the form and timeline described in this Agreement.

School Responsibilities: School will facilitate student participation, provide space and access to necessary staff and records as authorized, obtain required parent/guardian consents, supervise activities on campus, and ensure Provider access to the extent permitted by policy and law.

Intellectual Property and Use of Results

Unless otherwise agreed in writing, Provider retains ownership of pre-existing intellectual property and tools. Results, aggregate findings, and de-identified data may be used by either party for research and reporting. Any joint intellectual property developed specifically under this Agreement shall be owned as jointly agreed and subject to a separate written agreement if requested.

Insurance, Liability, and Indemnification

Each party shall maintain insurance sufficient to cover its activities under this Agreement. To the fullest extent permitted by law, Provider shall indemnify and hold harmless the School from claims arising out of Provider's negligent acts or omissions in carrying out the Pilot Program. The School shall indemnify the Provider for claims arising from the School's negligence. Nothing in this Agreement shall be construed as a waiver of any statutory immunities applicable to the School.

Term, Termination, and Amendment

Term: This Agreement commences on the Start Date specified above and terminates on the End Date unless earlier terminated in accordance with this section. Either party may terminate for material breach with thirty (30) days' written notice if the other party fails to cure the breach. Termination shall not relieve either party of obligations incurred prior to termination, including data return or destruction requirements.

Each party shall comply with all applicable federal, state, and local laws, rules, and regulations relevant to performance under this Agreement, including laws governing the protection of student records and nondiscrimination. The parties agree to cooperate in implementing any legally required protections for student privacy.

This Agreement constitutes the entire agreement between the parties regarding the Pilot Program and supersedes prior oral or written understandings. Any amendment must be in writing and signed by authorized representatives of both parties.
