Recitals and Program Description

This Education Private Contract (the Agreement) is entered into by and between the Provider named above and the Student named above for the provision of private education services described below. The parties agree that the Provider will deliver instructional services and related materials in accordance with the terms set forth in this Agreement.

Services, Materials, and Standards

Provider Obligations: The Provider will furnish qualified instructional personnel, curriculum materials described in the Program / Course Title, assessment of progress, and reasonable access to the Provider's learning resources. Instructional delivery will conform to the standards and learning objectives provided to the Student in writing prior to commencement of services.

Student Obligations: The Student (or Parent/Guardian on behalf of a minor Student) shall ensure timely attendance, completion of assignments, compliance with program rules, and cooperation with reasonable pedagogical requests. Repeated unexcused absences or conduct that materially impairs instruction may result in suspension or termination in accordance with the Termination clause below.

Tuition, Fees, and Payment Terms

Late Payment: Payments not received within ten (10) calendar days of the due date shall accrue a late charge of the lesser of 1.5% per month or the maximum permitted by applicable law. Provider may suspend services for delinquent accounts after providing ten (10) days' written notice.

Refunds, Cancellation, and Withdrawal

Cancellation by Student: If the Student withdraws prior to the Program Start Date, Provider will refund all prepaid tuition less a non-refundable administrative fee of . If withdrawal occurs after the Program Start Date, refund entitlement, if any, will be calculated on a pro rata basis for unrendered instructional time less outstanding fees and the administrative fee.

Cancellation by Provider: Provider may cancel the program for insufficient enrollment or other operational reasons. In such case Provider will either (a) provide a full refund of prepaid tuition, or (b) offer enrollment in an equivalent program. Provider is not liable for incidental or consequential damages.

Health, Emergency, and Special Needs

Confidentiality and Records

Provider shall maintain educational records in accordance with applicable law and shall not disclose personally identifiable information except as required by law or as authorized in writing by the Student or Parent/Guardian. Provider may use aggregate, de-identified data for program evaluation and improvement.

Liability, Indemnification, and Insurance

Limitation of Liability: Except for willful misconduct or gross negligence, Provider's liability for any claim relating to this Agreement shall be limited to direct damages not to exceed the total tuition paid under this Agreement.

Indemnification: The Student (or Parent/Guardian on behalf of a minor Student) agrees to indemnify and hold harmless Provider, its officers, employees, and agents from any claim, liability, loss, or expense (including reasonable attorneys' fees) arising from the Student's breach of this Agreement or negligent acts.

Termination and Remedies

Termination for Cause: Either party may terminate this Agreement for material breach that remains uncured after fourteen (14) days' written notice. Termination by Provider for cause includes material safety violations or nonpayment.

Remedies: Remedies under this Agreement are cumulative and in addition to any remedies available at law or in equity.

Governing Law and Dispute Resolution

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles.

Dispute Resolution: The parties agree to negotiate in good faith to resolve disputes. If unresolved, disputes shall be submitted to binding arbitration in the county where the Provider's principal place of business is located, unless the parties agree otherwise in writing.
