EDUCATION PROPAGATE AGREEMENT

This Education Propagate Agreement (the Agreement) is entered into effective as of by and between:

Recitals

WHEREAS the Institution develops, owns, or administers educational materials, course content, student works, and related instructional resources (Collectively, Educational Content); and

WHEREAS the Recipient desires the right to reproduce, distribute, translate, adapt, and otherwise propagate specified Educational Content for academic, training, or public benefit purposes subject to the terms below;

Definitions

For purposes of this Agreement, "Educational Content" means curricula, syllabi, lectures, assignments, assessments, multimedia, software, student works for which the Institution holds rights or has obtained required consents. "Propagate" means to reproduce, distribute, publicly display, adapt, translate, sublicense and otherwise make available the Educational Content in accordance with the Scope of Propagation set forth in this Agreement.

Grant of Rights

Subject to the terms and conditions of this Agreement, the Institution hereby grants the Recipient a non-exclusive, worldwide license to Propagate the Educational Content for the Term described below and for the permitted uses set forth in this Agreement.

Student Works and Consent

Where Educational Content includes student-created works, the Institution represents that it has obtained or will obtain all necessary releases and permissions from students or guardians to permit the rights granted herein, except as expressly noted in the Student Information section below.

Compensation and Accounting

The parties agree the financial consideration for the rights granted under this Agreement shall be as follows:

Confidentiality and Data Protection

The Recipient shall treat as confidential any non-public student information, assessment data, personal identifiers, and other records provided by the Institution. The Recipient will implement reasonable administrative, technical and physical safeguards to protect such data and shall not use such data except as necessary to exercise the rights granted herein or as required by law.

Warranties, Representations and Restrictions

The Institution warrants that, to the best of its knowledge, it has the authority to grant the license in respect of Educational Content and that exercise of the rights granted will not infringe third-party copyrights or violate applicable law. The Institution does not warrant the accuracy of third-party content. The Recipient shall not sell the Educational Content as a stand-alone product without express prior written consent.

Indemnification and Limitation of Liability

Each party shall indemnify and hold harmless the other party from claims, damages and liabilities arising from the indemnifying party's breach of this Agreement, negligence, or wilful misconduct. Except for liability arising from gross negligence or willful misconduct, neither party's aggregate liability shall exceed or the amount actually paid under this Agreement, whichever is greater.

Term and Termination

The Term of this Agreement shall commence on the Effective Date and continue for unless earlier terminated. Either party may terminate for material breach that is not cured within days following written notice. Upon termination, Recipient shall cease propagation and, at Institution's election, return or destroy confidential materials.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes prior negotiations. Amendments must be in writing and signed by authorized representatives. This Agreement is transferable only with the written consent of the other party except that either party may assign to a successor by merger or sale of substantially all assets. If any provision is held invalid, remaining provisions remain in effect.

The Recipient agrees to comply with the Institution's applicable academic integrity policies and will not alter assessment outcomes or student records in a manner inconsistent with Institution policy.
