Term: The services described in this Proposal shall commence on the Proposed Start Date and continue through the Proposed End Date unless earlier terminated in accordance with this Proposal.

Cancellation: Either party may terminate this Proposal on provision of written notice. If termination occurs within 14 days of the Proposed Start Date, the Client shall remain liable for any non-recoverable costs and a cancellation fee equal to 25% of the outstanding fee unless otherwise agreed in writing.

Warranties & Limitation of Liability: The Provider warrants that services will be performed with reasonable care and skill. Except as expressly set forth herein, the Provider makes no other warranties. Neither party shall be liable for consequential damages; the aggregate liability of either party for direct damages under this Proposal shall not exceed the total fees paid by the Client under this Proposal.

CONFIDENTIALITY & INTELLECTUAL PROPERTY

Confidential Information disclosed by either party shall be kept confidential for a period of three (3) years following disclosure and used only to perform obligations under this Proposal, except as required by law.

Intellectual Property: The Provider retains ownership of pre-existing intellectual property and course materials. The Provider grants the Client a non-exclusive, non-transferable license to use delivered materials solely for the Client's internal educational purposes. Any adaptation or distribution beyond this scope requires written permission and may incur additional fees.

INSURANCE, INDEMNIFICATION, AND LAW

Indemnification: Each party shall indemnify and hold harmless the other from third-party claims arising from its negligent acts or willful misconduct in connection with performance of this Proposal.

Governing Law & Dispute Resolution: This Proposal shall be governed by the laws of the jurisdiction specified by the Client below. Parties will seek to resolve disputes in good faith prior to initiating formal proceedings.
