Scope of Work and Deliverables

The Researcher shall perform the research activities described below in accordance with the protocols, milestones, and deliverables set forth in this contract and any approved protocol attachments.

Protocol, Ethics, and Compliance

All activities involving human subjects, identifiable data, or protected education records shall require prior approval by the institution's designated review body (IRB or equivalent). The Researcher shall obtain and maintain all required approvals and shall not commence covered activities until approvals are documented and provided to the Institution.

Data Use, Confidentiality and Records

"Confidential Information" means non-public information disclosed by either party that is designated confidential or that reasonably should be understood to be confidential. Researcher shall protect Confidential Information and comply with applicable privacy and education records laws. De-identified data may be used for secondary analyses only as permitted in writing by the Institution.

Intellectual Property and Publications

Ownership of inventions, copyrightable works, and other intellectual property arising from the research shall be determined in accordance with the Institution's intellectual property policies. The Institution and Researcher grant each other a non-exclusive license to use data and results for internal academic purposes. Publication may proceed after reasonable review by the Institution to protect confidential information and patentable subject matter; review shall not exceed 60 days unless otherwise agreed in writing.

Funding, Costs, and Payment

If funding is provided, funds shall be used only for budgeted activities and subject to the Institution's expenditure and financial controls. The Researcher shall provide itemized invoices and rationale for expenses when requested.

Liability, Insurance, and Indemnification

Each party shall maintain appropriate insurance coverage for its activities under this Agreement. The Researcher shall indemnify and hold harmless the Institution from claims arising from Researcher negligence, except to the extent caused by the Institution's gross negligence or willful misconduct. The Institution shall indemnify the Researcher for claims arising from Institution actions as set forth in institution policies.

Termination and Remedies

Either party may terminate this Agreement for material breach if the breach is not cured within the notice and cure period set forth below. Termination shall not relieve either party of obligations accrued prior to termination, nor of obligations intended to survive such termination (including confidentiality, data retention, and intellectual property provisions).

Records, Audit and Access

The Researcher shall maintain all records necessary to document performance and compliance. Institution or its designee shall have the right to audit research records and financial reports upon reasonable notice during normal business hours.

Representations and Governing Law

Each party represents that it has authority to enter this Agreement and will comply with applicable laws and institutional policies. This Agreement shall be governed by the laws of the state identified below, without regard to conflict-of-law principles.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the contact address for each party below.

Miscellaneous

This Agreement constitutes the entire understanding between the parties with respect to the subject matter herein and supersedes prior discussions. Amendments must be in writing signed by authorized representatives of both parties. If any provision is held unenforceable, the remaining provisions shall remain in full force.
