Provider shall process student data only on documented instructions from the School and shall not use data for any other commercial purpose.

Intellectual Property

Except as otherwise set forth in writing, Provider retains all intellectual property rights in the Solution, including software, documentation, and methods. School is granted a limited, non-exclusive, non-transferable license to use the Solution for its internal educational purposes for the Term of this Agreement.

Warranties, Disclaimers, and Limitations

Provider warrants that it will perform services in a professional and workmanlike manner in accordance with generally accepted industry standards. EXCEPT FOR THE EXPRESS WARRANTY SET FORTH IN THIS PARAGRAPH, THE SOLUTION IS PROVIDED "AS IS" AND PROVIDER DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR ARISING FROM COURSE OF DEALING.

Except for liability arising from Provider's gross negligence or willful misconduct and for Provider's obligations to indemnify, the parties' aggregate liability to each other under this Agreement shall not exceed the total fees paid by the School to the Provider under this Agreement in the preceding twelve (12) months.
