EDUCATION SERVICE AGREEMENT

This Education Service Agreement (the Agreement) is entered into by and between Provider Name: and Client Name: . The parties hereby agree to the terms set forth below.

Refunds: Except as expressly provided herein, fees paid are non-refundable. If Provider cancels scheduled services more than once without reasonable cause, Client may be entitled to a pro rata refund for cancelled sessions.

Student and Parent/Guardian agree to comply with Provider's academic policies, attendance requirements, and codes of conduct. Repeated absences, failure to complete assignments, or misconduct may result in suspension or termination of services.

7. Confidentiality and Student Records

Provider shall maintain reasonable administrative, technical, and physical safeguards to protect Student records and confidential information. Provider will not disclose personally identifiable student information except as required by law or as necessary to perform the services, and then only to authorized individuals.

8. Intellectual Property

Materials created and provided by Provider in connection with the Services remain the intellectual property of Provider unless otherwise expressly agreed in writing. Student work produced in the course of instruction may be used by Provider for administrative or educational purposes unless Parent/Guardian opts out in writing prior to use.

9. Liability; Indemnification

Provider's liability for direct damages arising from performance under this Agreement shall be limited to the total fees paid by Client for the applicable service. Neither party shall be liable for consequential or punitive damages. Client agrees to indemnify and hold Provider harmless from claims arising from Client's breach or from Student misconduct.

10. Dispute Resolution; Governing Law

The parties agree to attempt in good faith to resolve disputes by negotiation. If unresolved, disputes shall be submitted to mediation, and if mediation fails, to binding arbitration administered in accordance with the parties' selected rules. The parties may specify the governing law for interpretation of this Agreement:
