Fees, Payment, and Refunds

Client shall pay Provider the fees set forth below. All fees are non-refundable except as expressly provided in the Refund Policy. Provider's invoices are due according to the Payment Terms.

Late payments incur a late fee of applied after days past due.

Materials, Technology, and Location

Provider will supply curriculum materials as specified. Provider is not responsible for loss or damage to Client-owned devices. If instruction occurs online, Client is responsible for adequate internet and device access.

Academic Policies and Conduct

Student and Client agree to abide by Provider's academic integrity standards, attendance expectations, and classroom conduct rules. Repeated disruptive behavior may result in suspension or termination of services without refund except as provided in the Refund Policy.

Acknowledgement of policies: I acknowledge receipt of and agree to comply with Provider's academic policies and conduct rules.

Confidentiality; Student Records

Provider will treat Student educational records and personal information as confidential and will maintain records in accordance with applicable law. Provider may disclose information when compelled by law or with Client's written consent. Client authorizes Provider to collect and maintain necessary educational records for the duration of services.

Intellectual Property

All original teaching materials, curriculum, assessments, and deliverables created by Provider remain the property of Provider. Client is granted a limited, nonexclusive license to use materials for personal educational purposes only. Client may not reproduce, distribute, or commercially exploit Provider materials without prior written permission.

Limitation of Liability and Indemnification

Provider's liability for any claim arising under this Agreement shall be limited to direct damages not to exceed the total fees paid by Client to Provider under this Agreement during the preceding six months. In no event shall Provider be liable for consequential, incidental, special, or punitive damages. Client shall indemnify and hold Provider harmless from claims, liabilities, losses, and expenses arising from Client or Student's negligence, willful misconduct, or breach of this Agreement.

Termination

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Provider may terminate immediately for material breach by Client, including nonpayment or misconduct.

Emergency, Health, and Media Release

Authorization for emergency medical treatment: I authorize Provider to seek emergency medical care for Student if necessary and agree to be responsible for related costs.

Media release: I authorize Provider to photograph or record Student for educational or promotional purposes in accordance with privacy protections described above.

Data Privacy & Records Retention

Provider shall retain Student records for a reasonable period and shall implement administrative and technical safeguards to protect personal information. Client consents to Provider's collection and limited use of data necessary to deliver services and comply with legal obligations.

Dispute Resolution and Governing Law

The parties agree to negotiate in good faith to resolve any dispute arising from this Agreement. If unresolved, disputes shall be submitted to binding arbitration pursuant to the rules selected by the parties. This Agreement shall be governed by the laws of the state of .

Miscellaneous

Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings. Amendments must be in writing signed by both parties. If any provision is held unenforceable, the remaining provisions shall remain in effect.
