Recitals

Provider is engaged in the business of delivering educational instruction and related services. Client desires to engage Provider to deliver the Program described below, subject to the terms and conditions set forth in this Contract. The Parties agree as follows.

Scope of Services

Services will include instructional sessions, materials listed in Appendix A (if any), assessment activities, and reasonable academic support outside of scheduled instruction as set forth in this Contract. Provider retains discretion over instructional methods and staffing consistent with good educational practice.

Fees, Payment and Financial Terms

Client agrees to pay the fees and charges described below in accordance with the payment schedule. All fees are non-refundable except as expressly provided in the Refunds and Cancellations clause.

Late payment will incur a fee of on overdue balances. Provider may suspend services for nonpayment after providing written notice and a reasonable cure period.

Refunds and Cancellations

If Client cancels enrollment before the Program Start Date, Provider will retain the deposit and will refund any amounts paid in excess of the deposit subject to a reasonable administrative charge. After commencement of services, refunds will be pro-rated only for unrendered instruction and subject to Provider's policies. Provider may terminate services for cause without refund.

Student Responsibilities and Conduct

Student and/or Parent/Guardian shall ensure punctual attendance, complete assignments, and comply with Provider's code of conduct and reasonable directions. Disruptive behavior may result in removal from the Program with or without refund depending on circumstances.

Health, Safety and Special Needs

Intellectual Property; Recordings

Provider retains ownership of proprietary curricula, instructional materials, and intellectual property created prior to or independently of this Contract. Any recordings or materials created by Provider during instruction are the property of Provider unless otherwise agreed in writing. Student may not reproduce, distribute, or publicly display Provider materials without prior written consent.

Privacy and Confidentiality

Provider will maintain student records and personal information in accordance with applicable privacy requirements. Provider may share limited information with instructors and administrative staff as necessary to provide services. Providers shall not disclose confidential student records except as required by law.

Limitation of Liability and Indemnification

Provider's liability for claims arising under this Contract is limited to direct damages not to exceed the total fees paid by Client for the Program. In no event will Provider be liable for consequential, incidental, or punitive damages. Client agrees to indemnify and hold Provider harmless from claims arising from Client's or Student's breach, negligence, or willful misconduct.

Termination

This Contract may be terminated by Provider for material breach, nonpayment, or safety concerns. Client may terminate this Contract in accordance with the Refunds and Cancellations provisions. Termination does not relieve the Parties of accrued obligations.

Dispute Resolution and Governing Law

The Parties agree to attempt in good faith to resolve disputes by negotiation. If unresolved, disputes will be resolved by binding arbitration or by the courts in the jurisdiction where Provider maintains its principal place of business, as selected in good faith by Provider. Applicable law shall govern without regard to conflict of laws principles.

Notices

Notices required under this Contract must be in writing and delivered to the contact information provided above. Notice is effective upon personal delivery, verified delivery by courier, or three days after deposit in the mail if sent by certified mail.
