EDUCATION SITE AGREEMENT

This Education Site Agreement ("Agreement") is entered into as of Effective Date: by and between:

WHEREAS, the School desires to place students at the Site Provider for educational activities, instruction, observation, practicum, or internship (the "Activities"); and

WHEREAS, the Site Provider agrees to provide facilities, supervision and access in accordance with the terms of this Agreement;

Responsibilities of the Site Provider

The Site Provider shall: (a) provide appropriate workspace, supervision and access to resources necessary for the Activities; (b) maintain compliance with applicable health and safety laws and institution policies while students are on site; and (c) ensure that staff supervising students have appropriate qualifications and are informed of the educational objectives. The Site Provider will notify the School promptly of any incident involving student injury, allegation of professional misconduct, or potential claim.

Responsibilities of the School

The School shall: (a) ensure students meet any prerequisites, immunizations, credentials and training required by the Site Provider; (b) furnish the Site Provider with student rosters and emergency contact information prior to placement; and (c) notify the Site Provider of any known medical conditions or restrictions for individual students.

Background Checks, Health & Safety

The School shall certify that students assigned to the Site meet any background screening or health requirements requested by the Site Provider. Indicate whether background checks are required by the Site Provider for student placement:

Insurance, Liability & Indemnification

Each party shall maintain and keep in force insurance appropriate to its operations and obligations under this Agreement. The Site Provider shall maintain Commercial General Liability insurance with minimum limits of $1,000,000 per occurrence and $2,000,000 aggregate, and shall provide a certificate of insurance to the School upon request. Nothing in this Agreement shall be construed as a waiver of either party's sovereign or governmental immunity where applicable.

Indemnification: The School and Site Provider each agree to indemnify, hold harmless, and defend the other party from and against any claims, liabilities, losses or expenses (including reasonable attorney fees) arising out of the indemnitee's negligence or willful misconduct in connection with the Activities, except to the extent caused by the negligence or willful misconduct of the indemnitee.

Confidentiality and Student Records

The parties acknowledge that certain student records and information may be protected by applicable privacy laws. The parties agree to limit use and disclosure of such records to purposes directly related to the Activities and to implement reasonable safeguards to protect confidential information.

Termination & Amendment

Either party may terminate this Agreement for convenience upon thirty (30) days' prior written notice. Either party may terminate immediately for material breach or where continuation would create an imminent risk to health or safety. This Agreement may be amended only by written instrument signed by authorized representatives of both parties.

Governing Law & Dispute Resolution
