Conditions of Sponsorship

Academic Standard: The Student must maintain a minimum cumulative GPA of each academic term. Failure to meet this standard permits the Institution to suspend disbursements after providing written notice and a 30-day cure period.

Attendance and Conduct: The Student must comply with the Institution's attendance and conduct policies. Repeated unexcused absences or disciplinary suspension may result in termination of sponsorship pursuant to the Termination clause below.

Reporting and Records

The Institution shall provide the Sponsor with academic progress reports at least annually and upon request. Reports shall include enrollment verification, transcript of grades, and an itemized statement of amounts disbursed on behalf of the Student.

The Institution shall retain financial records relating to disbursements for a minimum of years and shall permit the Sponsor reasonable access to such records for audit purposes upon prior written notice.

Termination and Default

Termination for Cause: This Agreement may be terminated by either party upon written notice if the other party materially breaches any obligation and fails to cure the breach within days after receipt of notice. Termination does not relieve either party of liabilities incurred prior to termination.

Suspension of Payments: The Sponsor may suspend payments upon written notification to the Institution if the Student is academically ineligible or otherwise fails to meet the Conditions of Sponsorship.

Representations, Warranties and Indemnification

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. The Institution represents that disbursements will be used only for the purposes set forth in this Agreement.

Indemnification: Each party shall indemnify and hold harmless the other party from and against any claims, liabilities, losses, costs and expenses arising from the indemnifying party's negligent acts, willful misconduct, or breach of this Agreement.

Confidentiality and Publicity

Confidential Information exchanged under this Agreement shall be kept confidential by the receiving party and shall not be disclosed except as required by law. The Sponsor and Institution may agree in writing to terms governing publicity or use of the Student's name or likeness; absent such agreement, neither party shall use the other's name or logo for promotional purposes.

Notices

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Parties shall attempt in good faith to resolve disputes by negotiation and, if unresolved, by mediation prior to initiating litigation.

Miscellaneous Provisions

Amendment: This Agreement may be amended only by a written instrument executed by authorized representatives of both parties.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remainder shall remain effective.

Entire Agreement: This instrument constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior negotiations and agreements.
