Rights, Copyright, and Use

Storyteller hereby grants to the Institution a non-exclusive, worldwide, royalty-free license to record, reproduce, edit, distribute, and display the submitted storytelling materials for educational, promotional, archival, and outreach purposes, in any media now known or hereafter developed, including derivative works, for the term specified below.

Student Privacy, Confidentiality, and Content Standards

The Institution shall not disclose personally identifiable student education records beyond the uses permitted in this contract without separate written consent. Storyteller agrees not to disclose confidential institutional information obtained during the project and will comply with applicable institutional policies governing student privacy and conduct.

Content Standards: Storyteller warrants that submitted content will not be defamatory, obscene, discriminatory, or in violation of third-party rights. Storyteller shall obtain any required consents from third parties appearing in material.

Warranties, Indemnity, and Liability

Storyteller represents and warrants that they are the author of the submitted materials or have secured all necessary rights, permissions, and releases. Storyteller shall indemnify, defend, and hold harmless the Institution and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses arising from breach of this agreement, infringement of third-party rights, or violation of law.

Term, Termination, and Return of Materials

Term: This Agreement is effective as of the Agreement Date and will continue for the licensing term indicated above or until terminated in accordance with this Section.

Termination: Either party may terminate for material breach upon written notice if the breach is not cured within thirty (30) days. Upon termination, Institution may retain and continue to use any materials already incorporated into institutional materials consistent with the license granted prior to termination unless otherwise agreed in writing.

Governing Law and Dispute Resolution

This Agreement will be governed by the substantive laws of the jurisdiction in which the Institution is located, without regard to conflict of laws principles. The parties agree to attempt good-faith negotiation prior to pursuing formal dispute resolution.
