Compensation and Payment

Client shall pay Consultant the fees described below in exchange for the Services. All fees are exclusive of applicable taxes unless otherwise stated.

Late payments shall accrue interest at on overdue amounts. Client acknowledges that Consultant may suspend services for nonpayment after thirty (30) days' written notice.

Confidentiality and Data Use

Consultant and Client shall protect confidential information disclosed in connection with this Agreement. Confidential information includes student data, personnel records, non-public financial information, and other material identified as confidential. Each party shall use confidential information solely for performance under this Agreement and shall not disclose confidential information except as required by law.

Intellectual Property

All original materials, analyses, and deliverables produced by Consultant specifically for the Client under this Agreement shall be deemed "work made for hire" and assigned to the Client upon full payment of fees. Consultant retains the right to use non-identifying methodologies and templates for other clients, provided such use does not disclose Client confidential information.

Termination

Either party may terminate this Agreement for convenience upon thirty (30) days' written notice. Upon termination for convenience, Client shall pay Consultant for all work performed and reasonable costs incurred through the effective termination date. Either party may terminate immediately for material breach if such breach is not cured within fifteen (15) days after written notice.

Representations, Warranties and Liability

Each party represents that it has the authority to enter into this Agreement. Consultant warrants that services will be provided in a professional and workmanlike manner consistent with prevailing industry standards. EXCEPT AS EXPRESSLY PROVIDED HEREIN, CONSULTANT DISCLAIMS ALL OTHER WARRANTIES. CONSULTANT'S LIABILITY FOR DAMAGES SHALL BE LIMITED TO DIRECT DAMAGES NOT TO EXCEED THE TOTAL FEES PAID BY CLIENT UNDER THIS AGREEMENT.

Indemnification

Each party shall indemnify and hold harmless the other party from and against claims, liabilities, damages, and costs arising from the indemnifying party's breach of this Agreement, negligence, or willful misconduct, subject to the limitations of liability set forth herein.

Dispute Resolution and Governing Law
