The Provider will conduct a strategy session focused on educational planning, study strategies, accommodations, and progress tracking. The Provider's obligations are limited to professional advice and written materials expressly described in this agreement.

Confidentiality, Records, and Recording

Confidentiality: Provider will treat Client and Student information as confidential and will not disclose such information except as authorized in writing, or as required by law. The Provider may document observations and recommendations in written records to support the educational plan.

Client consents to audio/video recording of the session for the sole purposes of review and session documentation. Recordings will be retained for a reasonable period and used only by Provider personnel unless additional written consent is provided.

Intellectual Property

Provider retains all intellectual property rights in training materials, assessment tools, and proprietary strategies. Provider grants Client a non-exclusive, non-transferable license to use written recommendations and materials for the Student's educational purposes only. Client shall not reproduce, distribute, or publish Provider materials for commercial use without Provider's written permission.

Limitation of Liability and Indemnification

Provider's liability for any claim arising from this Agreement is limited to the amount of fees actually paid by Client for the session at issue. In no event will Provider be liable for incidental, consequential, or punitive damages. Client agrees to indemnify and hold Provider harmless from any third-party claim arising from Client's misuse of materials or failure to follow professional recommendations.

Termination

Either party may terminate this Agreement for convenience with seven (7) days' written notice. Termination will not affect rights or obligations accrued prior to termination, including payment obligations for sessions already delivered.

Acknowledgments and Additional Authorizations

Client acknowledges that results cannot be guaranteed and that Provider offers professional opinions and advice based on available information. Client authorizes Provider to communicate with identified school personnel or third-party professionals when necessary to coordinate services if Client provides written contact details below.
