Recitals and Definitions

WHEREAS, Client operates educational programs and desires to obtain certain instructional, therapeutic, or support services; and WHEREAS, Subcontractor represents that it possesses the qualifications, credentials, and licensing necessary to provide such services; NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows.

The term of this Agreement shall commence on and continue until unless earlier terminated in accordance with this Agreement.

Compensation and Invoicing

Background Checks, Credentials, and Compliance

Subcontractor shall ensure that all personnel providing services under this Agreement satisfy criminal background checks, child abuse registry checks, and any other screenings required by law or by Client policy prior to commencing services. Subcontractor represents and warrants that all staff are properly credentialed and shall maintain credentials in good standing.

Confidentiality and Student Records

Subcontractor will treat all student records, personally identifiable information, and educational records as confidential. Subcontractor shall comply with all applicable law concerning privacy and student records and shall not disclose any such records except as expressly authorized by Client or as required by law.

Subcontractor acknowledges obligations concerning student educational records and data protection.

Insurance and Indemnification

Subcontractor shall maintain at its expense commercial general liability, professional liability (as applicable), and workers' compensation insurance in amounts reasonably acceptable to Client and shall furnish certificates of insurance upon request. Subcontractor shall indemnify, defend, and hold harmless Client from any claims arising out of Subcontractor's performance, negligence, or willful misconduct.

Independent Contractor Status

Subcontractor is an independent contractor and not an employee, agent, or partner of Client. Subcontractor is solely responsible for withholding, reporting and paying its own taxes, benefits, and insurance. Nothing in this Agreement shall be construed to create an employment relationship.

Records, Audit, and Retention

Subcontractor shall maintain accurate records of services, attendance, and expenditures related to this Agreement and shall permit Client or its designees to audit such records upon reasonable notice. Records shall be retained for years following the termination of this Agreement.

Termination

Either party may terminate this Agreement for convenience upon days' prior written notice. Client may terminate immediately for cause, including but not limited to failure to maintain required clearances, material breach, or harm to students.

Assignment and Subcontracting

Subcontractor shall not assign this Agreement or subcontract any material portion of the services without the prior written consent of Client. Subcontractor remains responsible for the acts and omissions of any permitted subcontractor.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state of . Any dispute arising under this Agreement shall be resolved by binding arbitration or in the state or federal courts located in the governing jurisdiction, as agreed by the parties in writing.

Miscellaneous Provisions

Entire Agreement: This Agreement, together with any attachments or schedules, constitutes the entire agreement between the parties and supersedes all prior negotiations and understandings. Amendments must be in writing and signed by both parties.
