Recitals and Definitions

Recitals: School seeks to obtain technology, software, services, and related support to support instruction, assessment, and administration. Provider develops and delivers educational technology solutions and will provide the Services and Deliverables described below under the terms of this Agreement.

Definitions: "Software" means the Provider's applications and interfaces provided pursuant to this Agreement. "Services" means implementation, training, hosting, maintenance, support, and other professional services described in Services and Deliverables. "Student Data" means education records and personally identifiable information of students as collected or generated in connection with the Services.

License, Access and Use

Provider grants School a non-exclusive, non-transferable, limited license to access and use the Software and related Documentation solely for School's internal educational purposes during the Term. License scope and restrictions are as follows:

Fees, Invoicing and Payment

Late payment: Unpaid amounts accrue interest at the rate agreed by parties or, if none, the lesser of 1.5% per month or the maximum permitted by law. All fees are exclusive of applicable taxes; responsibility for taxes is allocated as follows:

Student Data, Privacy and Security

Provider shall collect, use, disclose, retain, and delete Student Data only as necessary to perform Services and in accordance with School's instructions and applicable student privacy laws and regulations. Provider agrees to implement and maintain administrative, technical, and physical safeguards appropriate to the sensitivity of Student Data.

Security Measures and Incident Response

Breach Notification: Provider will notify School promptly and in no event later than days after discovery of any security incident affecting Student Data, providing scope, remediation, and proposed corrective actions.

Confidentiality, Intellectual Property and Records

Confidential Information: Each party shall maintain Confidential Information of the other in strict confidence and not disclose except as permitted. Provider acknowledges that Student Data and School's educational records remain the property of School. Provider retains ownership of its pre-existing intellectual property, and School is granted only the licenses expressly set forth herein.

Warranties, Indemnification and Liability

Provider warrants that the Services will be performed in a professional manner consistent with industry standards. Provider will indemnify and defend School from third-party claims arising from Provider's breach of its obligations under this Agreement, subject to the terms and monetary limits agreed by the parties.

Limitation of Liability: Except for liability for breach of confidentiality, willful misconduct, or Provider's obligations with respect to Student Data, neither party's aggregate liability for direct damages shall exceed the total fees paid by School to Provider under this Agreement in the twelve (12) months preceding the claim.

Term, Termination and Transition

Term: The initial term shall commence on Start Date: and continue for a period of unless earlier terminated in accordance with this Agreement.

Termination for convenience: Either party may terminate upon written notice of days. Upon termination, Provider will return or securely delete Student Data in accordance with School's instructions.

General Provisions

Governing Law and Remedies: This Agreement shall be governed by the laws mutually agreed upon by the parties and each party's remedies are cumulative to the extent permitted by law. The parties shall attempt to resolve disputes in good faith prior to initiating formal proceedings.
