Cancellation and Refunds: The Provider's cancellation policy is binding. Refunds, if any, will be calculated pro rata based upon completed assessment services and non-recoverable expenses. Participant acknowledges and accepts the Provider's right to retain applicable administrative or assessment fees in the event of cancellation.

Participant Responsibilities and Accommodations

Participant agrees to comply with assessment schedules, preparatory requirements, and to disclose any conditions that may reasonably affect performance, including disabilities or medical considerations.

Confidentiality, Records and Data Use

Assessment records and participant data will be retained by the Provider in accordance with Provider policy. Records will be used for certification, quality assurance, and compliance reporting. Provider will maintain confidential participant information and will not disclose records except as required by law or as authorized in writing by Participant.

Consent to Use of Data: I consent to the retention and administrative use of my assessment records consistent with the terms above.

Assessment Results, Certification and Appeals

Provider shall issue results and any applicable certification upon successful completion of assessment requirements and receipt of all payments. Grading criteria and certification standards are established by the Provider and are final subject to the Provider's internal appeals procedure.

Intellectual Property and Use of Materials

All training materials, assessment instruments, and examination content provided by the Provider are the Provider's proprietary materials. Participant agrees not to copy, distribute, publish or otherwise use proprietary assessment materials except as expressly authorized in writing by the Provider.

Liability, Insurance and Indemnity

Provider and Participant acknowledge that Provider will exercise reasonable care in conducting assessments. Except for willful misconduct or gross negligence, Provider's liability for any claim arising out of this Agreement shall be limited to direct damages not to exceed the amount of fees paid for the specific assessment. Participant shall indemnify and hold harmless Provider from third-party claims arising from Participant's acts or omissions.

Termination and Amendment

This Agreement may be terminated by either party upon written notice for material breach that is not cured within a reasonable period. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the jurisdiction in which the Provider's principal administrative office is located, without regard to conflict of law principles. The parties agree to seek resolution of disputes first by internal review and then by mediation prior to pursuing litigation.
