Cancellation and Termination

Either party may terminate this agreement for convenience with thirty (30) days written notice. Provider shall be compensated for work performed and non‑cancellable obligations incurred prior to termination. Termination for material breach shall be effective upon written notice if the breach is not cured within fifteen (15) days.

Confidentiality & Data Protection

Each party shall maintain as confidential all non-public information disclosed in connection with this engagement. Confidential information shall not be disclosed except to employees or subcontractors who require access to perform the services and who are bound by obligations of confidentiality. Educational records and personally identifiable information of participants must be handled in accordance with applicable law and institutional policy.

Intellectual Property

Unless otherwise agreed in writing, Provider retains ownership of pre-existing materials and methodologies. Provider grants Client a non-exclusive, non-transferable license to use deliverables for internal educational purposes. Any third-party licensed materials included in deliverables will be identified and require Client compliance with license terms.

Indemnification & Liability

Each party agrees to indemnify and hold harmless the other party from claims arising out of that party's negligence or willful misconduct. Except for liability arising from gross negligence or willful misconduct, each party's aggregate liability shall be limited to the fees paid to Provider under this Scope and Budget.

Compliance & Policies

Provider will comply with Client's applicable codes of conduct, child protection policies (if participants include minors), accessibility requirements, and other institutional policies provided in writing prior to the commencement date. Client shall provide such policies to Provider in a timely manner.
