Refunds, Cancellation, and Transfer

Intellectual Property and Work Product

Participant acknowledges that curriculum, training materials, assessments and related intellectual property are the exclusive property of Provider or its licensors. Participant may not reproduce, distribute, publish or create derivative works without prior written consent. Any Participant-created materials submitted for assessment shall be deemed non-confidential and Provider has a royalty-free, worldwide license to use such materials for quality assurance and instructional improvement.

Confidentiality; Data Protection

Each party shall maintain the confidentiality of the other's non-public information and comply with applicable laws governing personal data. Provider may collect personal data necessary for administration and certification; Participant consents to such collection, processing and retention for those purposes.

Liability, Indemnification and Insurance

Provider's liability for direct damages arising from this Agreement shall be limited to actual fees paid by Participant under this Agreement. Neither party shall be liable for consequential or punitive damages. Participant agrees to indemnify and hold Provider harmless from claims arising from Participant's breach, negligence, or misconduct.

Termination

Either party may terminate this Agreement for material breach if such breach is not cured within thirty (30) days after written notice. Provider reserves the right to remove Participant for misconduct or failure to meet program standards; fees in such event are non-refundable except as required by the refund policy stated above.
