EDUCATION VISIONARY CONTRACT

Recitals

Whereas Institution engages Visionary to design, advise upon, and implement educational programming, curriculum frameworks, and related services intended to improve student outcomes; and Whereas Visionary represents that Visionary possesses the qualifications, expertise, and authority to perform the services described in this Contract; the parties hereby agree as follows.

1. Scope of Services

Visionary shall provide the services described in the Deliverables and Obligations below. The services shall include curriculum design, professional development for faculty, classroom coaching, and program evaluation as further specified.

2. Term

The term of this Contract shall commence on and, unless earlier terminated in accordance with Section 10, shall continue until .

3. Compensation and Payment

Institution shall pay Visionary the fees set forth below in consideration for satisfactory performance of the services. Fees shall be invoiced and payable in accordance with the payment schedule.

4. Intellectual Property

Unless otherwise agreed in writing, materials created by Visionary specifically for Institution under this Contract shall be treated as follows:

Visionary hereby assigns to Institution all right, title and interest in deliverables (work made for hire) and waives moral rights to the extent permitted by law.

Alternatively, Visionary grants Institution a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify and distribute the deliverables for educational purposes.

5. Confidentiality

Each party shall maintain as confidential all non-public information received from the other party in connection with this Contract. Confidential information shall not be disclosed except to employees, contractors, or agents who need access for performance and who are bound to maintain confidentiality. Confidentiality obligations shall survive termination for years.

6. Student Data and Privacy

Visionary acknowledges that educational records and student information may be subject to privacy protections. Visionary shall use such data only for performance of the services, shall implement reasonable administrative, technical and physical safeguards, and shall not reidentify or disclose student information except as permitted by Institution in writing or required by law.

7. Compliance and Background Checks

Visionary certifies that all individuals providing services who will have contact with students have completed required background checks and clearances and will comply with Institution's child protection and safeguarding policies.

8. Insurance and Indemnification

Visionary shall maintain general liability and professional liability insurance in amounts customary for similar services. Visionary shall indemnify, defend and hold harmless Institution and its officers, employees and agents from third-party claims arising out of Visionary's negligent acts, omissions or willful misconduct in performance of services, except to the extent caused by Institution's gross negligence or willful misconduct.

9. Termination

Either party may terminate this Contract for convenience upon written notice to the other party delivered at least days prior to the termination effective date. Either party may also terminate for cause upon material breach if the breaching party fails to cure within days after receipt of written notice specifying the breach.

10. Representations and Warranties

Visionary represents and warrants that: (a) Visionary has the full power and authority to enter into and perform this Contract; (b) services will be performed in a professional and workmanlike manner consistent with industry standards; and (c) deliverables will not infringe the rights of third parties.

11. Limitation of Liability

Except for liability arising from willful misconduct or indemnification obligations, each party's aggregate liability under this Contract shall not exceed the total fees paid by Institution to Visionary under this Contract.

12. Notices

All notices required or permitted under this Contract shall be in writing and delivered to the party's primary contact at the address below.

13. Governing Law; Dispute Resolution

This Contract shall be governed by the laws of the State of without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes by negotiation and, if unresolved, by mediation prior to initiating litigation.

14. Academic Policies Acknowledgment

Visionary acknowledges and agrees to adhere to Institution's published academic policies, standards of student conduct, classroom supervision protocols, and child protection procedures. Visionary further agrees to cooperate with Institution in curriculum approval, assessment processes, and required reporting.
