Cancellation and Refund: Participant acknowledges that deposits are non-refundable except as expressly provided below. If Participant cancels more than days prior to the start date, Provider will apply deposit toward a future workshop or issue a refund less any non-recoverable costs. Cancellations within days of the workshop are subject to a cancellation fee.

Intellectual Property and Recording

All instructional materials, curricula, and presentations provided by Provider remain the exclusive intellectual property of Provider. Participant is granted a limited, non-transferable license to use provided materials for personal or internal educational purposes only. Participant shall not distribute, reproduce, or create derivative works without Provider's prior written consent.


Liability, Insurance, and Indemnification

Participant acknowledges and agrees that participation in the workshop involves inherent risks. Provider shall not be liable for incidental, consequential, or punitive damages arising from Participant's attendance, except for gross negligence or willful misconduct by Provider. Participant hereby releases Provider and its agents from claims arising from personal injury or property damage except to the extent caused by Provider's gross negligence or willful misconduct.

Provider represents that it maintains general liability insurance in the ordinary course of business with limits of at least . Participant is responsible for maintaining any personal medical or accident insurance.

Indemnification: Participant agrees to indemnify, defend, and hold harmless Provider, its officers, employees, and agents from and against any third-party claims, liabilities, losses, damages, or expenses (including reasonable attorneys' fees) arising out of Participant's negligent acts or omissions, breach of this Agreement, or violation of law.

Health, Safety, and Conduct

Participant shall comply with all reasonable safety instructions and conduct rules provided by Provider or the venue. Participant must disclose any medical conditions or allergies that may affect participation. Provider may remove any person whose conduct materially interferes with the workshop without refund.

Termination; Force Majeure

Provider may cancel or reschedule the workshop for reasons beyond its control including venue availability, insufficient enrollment, or force majeure. In the event of cancellation by Provider, Participant shall be entitled to a refund of fees paid or credit toward a future workshop at Participant's election. Provider shall not be responsible for incidental expenses incurred by Participant.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state of without regard to conflict of law principles. Parties agree to attempt good faith negotiation to resolve disputes. If unresolved, disputes shall be resolved by binding arbitration administered in the county where Provider's principal place of business is located, unless the parties mutually agree otherwise.

Miscellaneous

Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions and agreements, whether written or oral. Amendments must be in writing and signed by both parties. If any provision is held unenforceable, the remainder shall remain in full force and effect.
