Payment Terms & Policies

Payment Terms: Payment is due in full by the Due Date shown above. Unless otherwise agreed in writing, all amounts are payable in the currency indicated on this invoice and are exclusive of applicable taxes which will be charged in addition where required by law. Late payment will incur interest at a rate of 1.5% per month (or the maximum rate permitted by law if lower) on any unpaid balance beginning the day after the Due Date.

Cancellation and Refunds: If the Client cancels the workshop within 30 days of the start date, Provider reserves the right to retain up to 50% of the Total Due as reasonable cancellation fees to cover preparatory costs and instructor scheduling. Cancellation less than 7 days prior to the workshop may result in forfeiture of the full fee unless Provider and Client execute a written alternative arrangement. Refund obligations, if any, will be processed within 30 days of mutual agreement.

Materials and Intellectual Property: Provider retains all rights, title and interest in course materials, curricula, assessments, and training aids (collectively, Materials). Client is granted a limited, non-exclusive license to use provided Materials for internal educational purposes only. Client shall not reproduce, distribute, or publicly display Materials without Provider’s prior written consent.

Limitation of Liability: To the fullest extent permitted by law, Provider’s liability arising out of or related to this invoice or the services rendered is limited to direct damages not to exceed the Total Due paid by Client for the specific workshop. Provider is not liable for indirect, incidental, special, punitive, or consequential damages, including loss of profits or loss of data.

Confidentiality: Parties agree that any confidential information exchanged in connection with the workshop will be held in confidence and may only be used to perform obligations under this invoice. This obligation does not apply to information which is publicly known, independently developed, or required to be disclosed by law.

Taxes and Withholding: Client is responsible for any taxes, duties or withholdings applicable to payments hereunder except taxes based on Provider’s net income. If Client is required by law to withhold taxes, Client must provide Provider with official tax documentation evidencing such withholding.
