Service Provider represents and warrants that it will ensure all assigned personnel meet the following requirements prior to service delivery:

Confidentiality and Records

Service Provider shall maintain the confidentiality of the Student's educational and health records and shall only access, use, or disclose such records as permitted by Institution policy and applicable law. Service Provider will take reasonable measures to protect confidential information and will promptly report any unauthorized disclosure to the Institution.

Liability, Insurance, and Indemnification

Service Provider shall maintain insurance sufficient to cover claims arising from its duties under this Agreement. Service Provider agrees to indemnify and hold harmless the Institution and its employees from claims, liabilities, costs, and expenses arising from Service Provider's negligent acts or omissions in connection with performance under this Contract, except to the extent caused by Institution's negligence or willful misconduct.

Term, Modification, and Termination

This Contract shall continue in effect from the Effective Date until the completion of services or until terminated by either party in accordance with this section. Either party may terminate this Contract for convenience upon providing written notice as specified below, or immediately for cause if the other party materially breaches this Contract.

Service Provider and assigned personnel shall comply with Institution's policies governing conduct, confidentiality, student interaction, safety protocols, and any other policies provided in writing to Service Provider. Failure to comply may result in removal of personnel and termination of this Contract.

Dispute Resolution

The parties agree to negotiate in good faith to resolve any dispute arising under this Contract. If the parties cannot resolve a dispute through negotiation, they agree to submit to mediation prior to pursuing litigation. Any legal action that proceeds beyond mediation shall be governed by the laws of the jurisdiction in which the Institution is located.

Miscellaneous Provisions

Assignment: Service Provider shall not assign its obligations under this Contract without the prior written consent of the Institution. Notices shall be provided in writing to the addresses below. This Contract constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior agreements.
