EDUCATIONAL ASSESSMENT MEMORANDUM OF UNDERSTANDING

RECITALS

The parties acknowledge that assessment records and student information are confidential. The Provider shall maintain physical, administrative, and technical safeguards to protect confidential information and shall limit access to authorized personnel. Provider shall not disclose personally identifiable student information except as authorized in writing by Institution or by legal obligation. Provider will comply with all applicable laws and institutional policies governing the confidentiality of student records.

Institution certifies that it will obtain any required parental or guardian consent prior to assessment of a minor student when required by law or policy, and will provide Provider copies of such consent forms upon request.

TERMINATION AND AMENDMENT

Either party may terminate this MOU for cause upon thirty (30) days' written notice if the other party materially breaches any provision and fails to cure within the notice period. Either party may terminate without cause upon sixty (60) days' written notice. Termination does not relieve either party of obligations incurred prior to the termination date. This MOU may be amended only by a written instrument signed by authorized representatives of both parties.

INDEMNIFICATION, LIABILITY, AND INSURANCE

Each party agrees to indemnify, defend, and hold harmless the other party from claims arising from its negligent acts or omissions in performing under this MOU. Provider will maintain professional liability insurance sufficient for the scope of services and provide evidence of insurance upon reasonable request by Institution.

RECORD RETENTION AND ACCESS

Provider shall retain assessment records for the period required by law or institutional policy and shall permit Institution reasonable access to records concerning its students. Upon termination or expiration, Provider shall return or securely destroy confidential records in accordance with Institution instructions.

DISPUTE RESOLUTION AND GOVERNING LAW

The parties shall attempt in good faith to resolve disputes arising under this MOU through negotiation between senior representatives. If unresolved, disputes shall be resolved by mediation prior to any litigation. This MOU shall be governed by the substantive laws of the jurisdiction identified below.
