Client Responsibilities

Client agrees to provide accurate and complete information, respond to Consultant requests in a timely manner, deliver necessary documents and application materials, and make payments when due. Client understands that Consultant's advice is based upon information provided by Client.

Confidentiality and Data Protection

Consultant will maintain confidentiality of Client materials and personal information and will not disclose Confidential Information except as required by law or with Client's prior written consent. Consultant may collect and store personal data needed to perform Services; such data will be processed only for the purposes of this Agreement and retained only as necessary to fulfill obligations.

Intellectual Property and Materials

All original materials created by Consultant specifically for Client under this Agreement remain the property of Consultant unless expressly assigned in writing. Client is granted a non-exclusive, non-transferable license to use materials for the purposes contemplated by this Agreement.

Warranties, Disclaimer, and Limitation of Liability

Consultant warrants that services will be performed with reasonable skill and care. Except as expressly provided, Consultant disclaims all other warranties, express or implied. Consultant's total aggregate liability under this Agreement shall not exceed the total fees paid by Client to Consultant under this Agreement, and Consultant shall not be liable for incidental, consequential, or lost opportunity damages.

Indemnification

Client agrees to indemnify and hold Consultant harmless from any third-party claims, liabilities, costs, or damages arising from Client's breach of this Agreement, Client-provided misinformation, or Client's use of Consultant materials outside the scope of this Agreement.

Notices

Dispute Resolution and Governing Law

This Agreement will be governed by the laws of the state specified by the parties below. The parties agree to attempt to resolve disputes first by good-faith negotiation, and if unresolved, by mediation. If mediation fails, either party may pursue remedies in a court of competent jurisdiction.

Acknowledgments

By signing below, Client confirms that information provided is complete and accurate to the best of Client's knowledge, Client authorizes Consultant to act as advisor in the scope set forth above, and Client accepts the terms and conditions contained in this Agreement.
